Overview

Why a US LLC?

A US LLC fits if you serve clients in the USA or need US payment rails. It can be the wrong choice, though, depending on tax residence, business model, ownership and filing obligations. Generally the LLC pays no federal income tax (pass-through, taxed at owner level); there is no minimum capital, and 100% foreign ownership is possible.

We handle the incorporation of your US LLC, including EIN (Employer Identification Number), ITIN application (Individual Taxpayer Identification Number), sales tax registration and filing. All 100% remote.

A US LLC is usually taxed at owner level, not at company level

Pass-through: profits taxed at owner level in the country of residence
No minimum capital required
100% foreign ownership allowed
Stripe, PayPal and Shopify Payments available; the provider decides on activation
Incorporation in the state of your choice
EIN & ITIN application included
Sales tax registration & filing
Remote banking: Slash, Wise, Payoneer
Business-friendly states (Delaware, Wyoming, Nevada)
No state income tax in Wyoming/Nevada

Taxes with a US LLC: What Pass-Through Means

A US LLC is generally tax-transparent (pass-through entity): the LLC itself usually pays no federal income tax. Profits are attributed to the owner and taxed where the owner is tax-resident. States like Wyoming and Nevada additionally have no state income tax. Reporting obligations such as Form 5472 still apply. How much tax is ultimately due depends on residence, place of management and documentation. The US LLC is often used as a holding or by international e-commerce businesses looking to serve the US market.

Frequently Asked Questions

Do I need to travel to the USA?
No. Incorporation and the EIN application run 100% remotely; account opening with providers such as Slash, Wise or Payoneer is usually possible remotely too, and the provider decides.
What is the difference between EIN and ITIN?
The EIN (Employer Identification Number) is your company's tax number. The ITIN (Individual Taxpayer Identification Number) is your personal US tax number as a foreigner. Strasia Group applies for both on your behalf.
Is 0% tax possible with a US LLC?
Not automatically. A US LLC is generally tax-transparent (pass-through): the LLC itself usually pays no federal income tax; profits are attributed to the owner and taxed where the owner is tax-resident. Wyoming and Nevada levy no state income tax. Reporting obligations such as Form 5472 still apply. How much tax is ultimately due depends on residence, place of management and documentation. We clarify this in the initial consultation.
Does Strasia Group handle sales tax?
Yes: we handle sales tax registration and ongoing filing in the relevant states.
Which state fits me?
That depends on your business model. Delaware is often chosen by companies that want to take on investors; Wyoming and Nevada levy no state income tax. For an LLC, what usually matters for tax is your residence, not the state, because the profits are taxed at your level. We clarify this in the initial consultation.
What does incorporation with Strasia cost?
That depends on the structure you choose, the account opening and ongoing support. In the free initial consultation we establish what you need. We quote our own fees in a written offer before any engagement; government fees are shown separately.
